These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Greenwood Capital Realty, LLC ("Greenwood Hall," "we," "us," or "our") governing your use of our website, services, and venue rental.

Important Notice

By using our website, scheduling a tour, making a booking, or signing a rental agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use our services.

PART I: WEBSITE TERMS OF USE

1. Website Use

By accessing our website at greenwood-hall.com, you agree to:

  • Use the website only for lawful purposes
  • Provide accurate and complete information when making inquiries or bookings
  • Not attempt to gain unauthorized access to our systems
  • Not interfere with the website's functionality
  • Not use automated systems (bots, scrapers) without permission

2. Account Registration

When you create an account or access the customer portal, you are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3. Intellectual Property

All content on this website, including text, images, logos, and design, is owned by Greenwood Capital Realty, LLC and protected by copyright and trademark laws. You may not copy, reproduce, or distribute our content without permission.

PART II: VENUE RENTAL AGREEMENT TERMS

Age Requirement

You must be at least 21 years old to rent Greenwood Hall. If the renter is found to be under 21 years of age at the time the contract is signed, the contract shall be terminated immediately and all deposits and monies shall be forfeited.

4. Nature of Rental ("Bare Hall" Agreement)

This is a "bare hall" agreement in which Greenwood Capital Realty, LLC agrees to furnish:

  • A clean venue space
  • Tables and chairs
  • Use of the commercial kitchen
  • Accommodations for up to 120 persons

You are responsible for providing all other items including catering, beverages, decorations, entertainment, photography, event planning, and tableware/serving items.

5. Pricing & Payment

5.1 Rental Rates

  • Weekdays (Mon-Thu): $160/hour, no minimum
  • Weekends (Fri-Sun): $185/hour, 4-hour minimum
  • Holidays: $210/hour, 4-hour minimum

5.2 Deposit

A $200 Deposit is required to secure your date. This deposit is refundable after the event, provided an inspection of the premises is completed, event cleanup requirements are met, and no damage was done.

5.3 Payment Schedule

  • Deposit due at time of booking
  • Remaining balance due 30 days before event date
  • If booking within 30 days of event, full payment due at booking

6. Cancellation & Refund Policy

  • More than 60 days before event: Full refund of rental fees and deposit, minus a $10 processing fee.
  • Within 60 days of event: Deposit is non-refundable and forfeited. Rental fees paid beyond the deposit may be refunded at Greenwood Hall's discretion.
  • Online payment cancellations: Subject to a 5% cancellation fee.

The Deposit is non-refundable if the event is canceled at any time within the two-month timeframe prior to the Event Date.

7. Event Times & Access

7.1 Setup Time

Client has two (2) hours before the event for setup, included at no additional charge. There will be no early access. If additional setup time is needed, it must be booked and paid for at the applicable hourly rate.

7.2 Cleanup Time

Client receives 30 minutes after the event for cleanup. Client is responsible for all furnishings, equipment, and supplies during this time.

7.3 Event End Time

All events must end and cleanup must be complete by the agreed-upon time. Running past the Event End Time will result in forfeiture of the Deposit.

8. Event Setup

Greenwood Capital Realty, LLC is NOT responsible for table plans or layout. Client agrees to:

  • Submit a completed setup sheet at least one week in advance of the event date
  • Tables and chairs will be set in accordance with the agreed-upon layout
  • Client may rearrange tables and chairs after initial setup
  • Buffet tables must remain where initially placed, or Deposit may be forfeited

9. Rules & Restrictions

9.1 Prohibited Items & Activities

ABSOLUTELY PROHIBITED:

  • Confetti or glitter of any kind
  • Nails, screws, or staples for decorations
  • Any decorations that create holes in floors, walls, or ceiling
  • Smoking inside the space
  • Drug use of any kind on the property
  • BBQ grills or cooking devices other than the kitchen stove

All decorations, including items hung up, must be non-permanent. Use of confetti, glitter, or prohibited items will result in forfeiture of the Deposit.

9.2 Gathering Areas

There is no fraternizing or gathering outside of the hall other than the front hall entrance door. This includes the parking lot, either side of the building, and the back of the building.

Gathering outside of the designated area (front hall entrance door) is grounds for any member of Greenwood Capital Realty, LLC to close down the event; at that point, client forfeits their Deposit.

9.3 Noise & Conduct

The venue is located near residential units. Client is responsible for keeping noise levels within town regulations. Client agrees to comply with all applicable city, county, state, and federal laws at all times.

9.4 Police Dispatch

If the police are dispatched to the venue for any reason, Client forfeits their Deposit and all other monies paid, and the event ends immediately.

9.5 Event Termination

Any member of Greenwood Capital Realty, LLC has the right to close down any event deemed to be out of control or unsafe, without refund.

10. Event Cleanup Requirements

The space is required to be left in the same clean condition in which it is supplied. Failure to complete the following will result in forfeiture of the Deposit:

  • Remove all garbage and put into dumpster located in parking lot
  • Wipe clean all used areas and surfaces including: stove, countertops, sink, refrigerator, coffee maker, ice maker, tabletops, and floors
  • Remove all items from kitchen including items stored in the refrigerator and freezer during event
  • Broom sweep all floors
  • Remove and dispose of all decorations, including materials used to affix, hang, or otherwise display decorations

11. Deposit

11.1 Deposit Return

The Deposit ($200) will be refunded after:

  • An inspection of the premises is completed
  • Event cleanup requirements are met
  • No damage was done to the property

11.2 Deposit Forfeiture

The Deposit will be withheld for any of the following reasons:

  • Event is started prior to the agreed-upon Event Start Time
  • Event runs past the agreed-upon Event End Time
  • Client uses confetti or glitter
  • Client damages the hall in any way (peeling paint, holes in walls, scratched floor, damaged kitchen appliances/accessories)
  • Buffet tables are moved from where they were initially placed
  • Garbage is not put into the dumpster
  • Police are dispatched for any reason
  • Guests gather outside the designated area

11.3 Client Responsibility

Client is responsible for contacting Greenwood Hall regarding the status of their deposit being returned. Greenwood Hall is not responsible for contacting Client regarding the status of their deposit.

12. Damages & Liability

Client assumes the entire cost of any and all damages incurred during the period of rental, including setup and cleanup times. Damages exceeding the Deposit amount will be billed to the Client.

PART III: HOLD HARMLESS AND INDEMNIFICATION

This Hold Harmless and Indemnification Agreement is entered into by and between Client (hereinafter "Promisor") and Greenwood Capital Realty, LLC (hereinafter "Promisee") in East Islip, New York, United States of America. The intent of this Agreement is to indemnify Promisee from any claims arising from and related to the Rental Agreement and Contract.

FOR VALUABLE CONSIDERATION, the receipt of which is hereby acknowledged, Promisor and Promisee agree as follows:

Promisor will indemnify and hold harmless Promisee from any and all claims, actions, and judgments, including all costs of defense and attorney's fees incurred in defending against same, arising from and related to the Rental Agreement and Contract.

Promisor's actions include the acts of Promisor's agents, guests, invitees, occupants, and employees.

In the event any claim or suit is brought against Promisee within the scope of this agreement, Promisor shall pay for legal counsel chosen by Promisee to defend against the same.

This agreement shall encompass claims resulting from, but not limited to, equipment failure, injuries, natural disasters, etc.

In the event either party files suit in a court of law to interpret or enforce the terms of this Agreement, the party prevailing in such action shall be entitled, in addition to any legal fees incurred in defending against any third party claim, to its reasonable legal fees and costs incurred in such action.

PART IV: COVID-19 INDEMNIFICATION & WAIVER OF LIABILITY

I agree that I am personally responsible for my safety and actions while using Greenwood Hall at Greenwood Capital Realty, LLC. I agree to comply with all Greenwood Capital Realty, LLC policies and rules, including but not limited to all policies, guidelines, signage, and instructions.

Because Greenwood Capital Realty, LLC is open for use by other individuals, I recognize that I am at higher risk of contracting COVID-19.

With full awareness and appreciation of the risks involved, I, for myself and on behalf of my family, spouse, friends, estate, heirs, executors, administrators, assigns, and personal representatives, hereby forever release, waive, discharge, and covenant not to sue Greenwood Capital Realty, LLC, its board members, officers, agents, servants, independent contractors, affiliates, employees, successors, and assigns (collectively the "Released Parties") from any and all liability, claims, demands, actions, and causes of action whatsoever, directly or indirectly arising out of or related to any loss, damage, or injury, including death, that may be sustained by me related to COVID-19 whether caused by the negligence of the Released Parties, any third-party using Greenwood Capital Realty, LLC, or otherwise, while participating in any activity while in, on, or around Greenwood Capital Realty, LLC and/or while using any facilities, tools, equipment, or materials.

I agree to indemnify, defend, and hold harmless the Released Parties from and against any and all costs, expenses, damages, claims, lawsuits, judgments, losses, and/or liabilities (including attorney fees) arising either directly or indirectly from or related to any and all claims made by or against any of the Released Parties due to bodily injury, death, loss of use, monetary loss, or any other injury from or related to my use of Greenwood Capital Realty, LLC facilities, tools, equipment, or materials, whether caused by the negligence of the Released Parties or otherwise specifically related to COVID-19.

By making a booking, I acknowledge and represent that:

  • I have read the foregoing Waiver of Liability, understand it, and agree voluntarily
  • I am sufficiently informed about the risks involved
  • No oral representations, statements, or inducements have been made apart from this written agreement
  • I am at least eighteen (18) years of age and fully competent
  • I execute this document for full, adequate, and complete consideration

PART V: GENERAL PROVISIONS

13. Governing Law

This Agreement shall be interpreted under the laws of the State of New York. Any legal action shall be brought in Suffolk County, New York.

14. Severability

If any provision of these Terms is found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision(s) shall be deemed modified to the limited extent required to permit enforcement of these Terms as a whole.

15. Entire Agreement

These Terms, together with your signed rental agreement and any amendments, constitute the entire agreement between you and Greenwood Capital Realty, LLC. No oral representations or statements modify these Terms.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREENWOOD CAPITAL REALTY, LLC'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE RENTAL.

17. Disclaimer of Warranties

THE VENUE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our services after changes constitutes acceptance. Material changes will not affect existing signed rental agreements.
